1. Agreement

These Terms & Conditions govern access to and use of the XL1 School Management Platform (the "Platform"), a cloud-based School ERP operated by XCELL1 Software Solutions Pvt Ltd. By subscribing to or using the Platform, the school (the "Customer") and its authorised users agree to these terms.

2. Accounts & access

Each school operates on an isolated tenant. The Customer is responsible for the confidentiality of its login credentials, for the accuracy of the data it enters, and for the actions of users it invites (staff, parents, students). Access is granted on a role-based basis and may be suspended for misuse or non-payment.

3. Subscription & fees

The Platform is provided on a subscription basis (typically priced per student, per year) as agreed in the Customer's order. Fees are payable in advance for the billing cycle. Applicable taxes are charged as per law. Continued use requires an active subscription.

4. Refund policy

Subscription fees are generally non-refundable once a billing period has begun, except where required by law or expressly agreed in writing. If a school cancels, service continues until the end of the paid period; no pro-rata refund is provided for the unused remainder unless otherwise agreed. Duplicate or erroneous charges are refunded on verification.

5. Data & privacy

The Customer owns its data. XCELL1 Software Solutions Pvt Ltd processes it to provide the service, as described in our Privacy Policy. On termination, the Customer may request an export; data is then retained or deleted per the retention terms and applicable law.

6. Acceptable use

The Platform must not be used to store unlawful content, to attempt to access another school's data, to disrupt the service, or to reverse-engineer the software. We may suspend access to protect the service or other customers.

7. Availability & liability

We aim for high availability but do not warrant uninterrupted service. To the extent permitted by law, XCELL1 Software Solutions Pvt Ltd's liability is limited to the fees paid for the affected billing period. The Platform is provided "as is" without implied warranties.

8. Changes & contact

We may update these terms; material changes will be communicated to subscribed schools. Questions about these terms can be sent to info@xcellsoftware.in.
